This is a translation. If the English and Dutch versions differ, the Dutch version applies.
Article 1. Who and what
- IC Digital is the sole proprietorship (eenmanszaak) of Idris Coşkun, email [email protected]. Chamber of Commerce (KvK) number: registration in progress. In these terms this is referred to as "I".
- "Client" means any person or business that gives me an assignment.
- "Assignment" means the work I do for the client, such as setting up a website, setting up a Google Business Profile, giving advice or digital help at home.
Article 2. When these terms apply
- These terms apply to every quote, order confirmation and assignment of IC Digital.
- Deviating agreements only apply if we record them in writing (email included).
- The client's own terms and conditions do not apply.
Article 3. Quote
- A quote is valid for 30 days, unless it states otherwise.
- The quote states what I will do, what it costs and what the client arranges or pays for themselves, such as a subscription to a website platform or a domain name.
- If a quote contains an obvious mistake, such as a typo in an amount, I will let you know as soon as possible and we will adjust the quote together.
Article 4. Assignment
- An assignment starts when the client approves the quote or order confirmation, also by email. For digital help at home, an appointment by email or phone is enough.
- If the client wants more than the quote states, that is additional work. I discuss it in advance and it costs extra, at the agreed rate.
- I work alongside a day job, in the evenings and at weekends. Schedules and delivery dates are targets, not fixed deadlines, unless we agree otherwise in writing.
Article 5. How I work
- I carry out the assignment as well as possible, with the care you may expect from a professional. I promise to do my best, not a specific result. For example, I cannot guarantee a top position in Google.
- I may use tools, including AI (article 16).
- I deliver a website after at most 2 rounds of feedback. After that, changes count as additional work.
Article 6. Setting up and handing over
- Everything I set up, such as a website, domain name, email or account, is in the client's name and on the client's account. The client pays the subscriptions and costs for it directly to the supplier.
- If the client cannot create an account themselves, I may pay for it temporarily and pass on the costs. I hand the account over completely on delivery.
- I get temporary access for the work. On delivery I remove my access and keep no passwords.
- After delivery the client manages everything themselves. I am not responsible for security, backups, updates or hosting, unless we agree a separate assignment in writing, such as a check-up.
- The services of the platform itself (such as Wix, Squarespace, Framer, Google or Microsoft) are subject to that party's terms. Outages or changes there are outside my responsibility.
Article 7. Digital help at home
- I help the client with their computer, phone, email or other devices, at the client's home or on location.
- For the client's safety, the following always applies:
- the client types in all passwords and codes themselves;
- I never log in with DigiD or to a bank, and I do not make payments;
- I never set my own details as recovery details;
- I leave no remote access behind.
- I only look where the client gives permission. I take nothing with me and store nothing from the device.
- The client makes their own backup of important files. If there is none, I say so in advance and only continue if the client wants me to.
Article 8. What I need from the client
- The client provides the information, texts, photos and access I need in good time.
- The client guarantees that they may use the texts, photos and logos, and that these do not infringe the rights of others.
- If there is a delay because something is missing, the schedule moves. I may charge any extra hours this requires.
Article 9. Prices
- Prices are stated in the quote or on icdigital.nl. They are final prices. I use the Dutch small business scheme (KOR) and therefore do not charge VAT.
- Digital help at home costs €50 per hour. I charge a minimum of 1 hour, then per half hour. In Zaandam, Amsterdam and the rest of North Holland I charge no call-out fee. Outside that area we agree a travel fee in advance.
- Third-party costs, such as subscriptions, domain names or parts, are paid by the client or passed on by me without a mark-up.
Article 10. Payment
- The client pays within 14 days of the invoice date.
- For a website I ask for 50% at the start and 50% on delivery. For help at home I send an invoice afterwards.
- If a business client does not pay on time, I send a reminder. After that I may charge the statutory commercial interest and collection costs. For a consumer, a free reminder with 14 extra days to pay applies first, followed by the statutory interest and collection costs.
- As long as payment has not been made, I may suspend the work.
Article 11. Cooling-off period and cancellation
- If a consumer concludes the assignment at a distance, for example by email or via the form, they have a 14-day cooling-off period.
- If a consumer wants me to start within those 14 days, I ask them to confirm this explicitly. If they cancel afterwards, they pay for the part already done. Once the work is completely finished, the cooling-off period ends.
- An appointment for help at home can be moved or cancelled free of charge up to 24 hours in advance. Cancelling later costs 1 hour.
- If the client stops a website assignment after the start, they pay for the hours I have already worked, with the deposit as a minimum. If the client is a consumer, only the part already done applies.
Article 12. Complaints
- If the client is not satisfied, they report this as soon as possible, preferably within 14 days of delivery, by email to [email protected].
- I respond within 7 days. If the complaint is justified, I fix the work at no extra cost. If that is not possible, the client gets a reasonable part of the amount back.
- A complaint does not give the right to withhold payment of the whole invoice. The client pays the part that is not in dispute.
Article 13. Liability
- If I am liable for damage, this is limited to the amount I have invoiced for the assignment. If my liability insurance pays out, the maximum is the amount the insurance pays.
- I am not liable for indirect damage, such as lost revenue, data lost without a backup or damage caused by outages at a platform or supplier.
- I am not liable for damage that arises after I have handed over the work, due to changes by the client or others.
- These limitations do not apply in case of intent or gross negligence on my part.
- The client reports damage within 12 months of discovering it. After that, the right to compensation lapses.
Article 14. Force majeure
- If I cannot work due to force majeure, such as illness, an outage at a supplier or extreme weather, the assignment is postponed.
- If the force majeure lasts longer than 30 days, either of us may stop the assignment. The client pays for the part already done.
Article 15. Ownership
- After full payment, the client receives all rights to the work I make for them, such as design and texts.
- Until then, the rights remain with me, and I may wait to hand over the work.
- After delivery I may show the work as an example of my work, unless the client does not want this.
Article 16. Privacy and AI
- How I handle personal data is described in my privacy statement.
- If I work for a business client with personal data of their customers, the client is the controller and we sign a data processing agreement for the duration of the assignment.
- I use AI tools such as Claude, for example to build websites or look up a solution. I check everything myself. I never share personal data, passwords or screenshots that show them.
- I do not accept assignments for high-risk AI applications, such as in recruitment, credit or biometrics.
Article 17. Applicable law
- Dutch law applies to every assignment.
- We first try to resolve a dispute together. If that fails, it goes to the competent court in the district of North Holland. A consumer may choose the court of their own place of residence within one month after I point this out to them.
- These terms may change. For an ongoing assignment, the terms in force when the assignment started apply.
